Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Alivio Search Partners (“Alivio,” “we,” “us,” or “our”) and govern your access to and use of aliviosearch.com and any related pages, forms, and portals (collectively, the “Site”) and the information and services we make available through it (the “Services”). Please read them carefully.

By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not access or use the Site.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site and Services. If you use the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to both you and that organization.

2. Definitions

  • “Content” means text, graphics, data, tools, playbooks, and other materials made available on or through the Site.
  • “User Submissions” means information you submit to us, including form responses, applications, resumes, and communications.
  • “Services” means the Site and the recruiting and talent-acquisition offerings Alivio provides.

3. The Site is informational; engagements are separate

The Site and its Content are provided for general informational purposes. Requests you submit through the Site — such as booking a consultation, completing the scorecard, or requesting a hiring plan — are invitations for us to contact you and do not create a binding engagement or client relationship. Any recruiting or staffing services Alivio provides are governed by a separate written agreement (for example, a master services agreement or statement of work) between you and Alivio. If there is a conflict between these Terms and such an agreement regarding the Services, that agreement controls for the Services.

4. Accounts and portals

Certain features (such as candidate or client portals) may require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at hello@aliviosearch.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

5. User Submissions and accuracy

You represent that the information you provide is accurate, current, and complete, that you have the right to provide it, and that its submission does not violate any law or third-party right. If you submit information about another person (for example, a reference), you represent that you have the authority to do so. Do not submit confidential information you are not authorized to share.

You grant Alivio a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and process your User Submissions as necessary to operate the Site and provide the Services (for example, to review your application and, in the recruiting context, present relevant candidate information to a prospective employer client). We handle personal information as described in our Privacy Policy.

6. Acceptable use

You agree not to:

  • Use the Site for any unlawful, fraudulent, or harmful purpose;
  • Interfere with or disrupt the Site, its servers, or networks, or attempt to gain unauthorized access to any part of the Site or related systems;
  • Introduce viruses, malware, or other harmful code;
  • Scrape, harvest, or collect information about other users, or use automated means to access the Site except for standard search-engine indexing consistent with our robots directives;
  • Impersonate any person or misrepresent your affiliation;
  • Reproduce, distribute, or create derivative works from the Content except as expressly permitted in Section 7;
  • Use the Site or Services to send spam or unsolicited communications.

7. Intellectual property

The Site, its Content, design, logos, and trademarks are owned by Alivio or its licensors and are protected by intellectual property and other laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and Content for your personal or internal business evaluation. You may quote brief portions of our articles with clear attribution and a link, but you may not otherwise copy, republish, or exploit the Content without our prior written permission. All rights not expressly granted are reserved.

8. Third-party services and links

The Site may integrate with or link to third-party services and websites (for example, our scheduling provider). Your use of those services is governed by their terms and privacy policies, and we are not responsible for their content, availability, or practices.

9. No professional advice

Content on the Site — including playbooks, benchmarks, and statistics — is provided for general information only and does not constitute legal, employment, financial, or other professional advice. Results, figures, and case examples are illustrative and are not a guarantee of similar outcomes. You are responsible for your own hiring and employment decisions and for compliance with applicable laws.

10. Disclaimers

THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT IS ACCURATE OR COMPLETE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ALIVIO AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. LIABILITY FOR THE SERVICES IS GOVERNED BY THE APPLICABLE SEPARATE WRITTEN AGREEMENT.

12. Indemnification

You agree to indemnify and hold harmless Alivio and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your User Submissions, or your violation of these Terms or applicable law.

13. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or to protect the Site or other users. Provisions that by their nature should survive termination — including Sections 5 through 12, 14, and 15 — will survive.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Subject to any applicable separate written agreement, you agree that the exclusive venue for any dispute arising out of or relating to the Site or these Terms will be the state or federal courts located in Westchester County, New York, and you consent to their personal jurisdiction. Each party waives any objection to venue in those courts.

15. Changes to the Site and these Terms

We may modify or discontinue the Site or any feature at any time. We may also update these Terms from time to time; when we do, we will revise the “Last updated” date above. Material changes will be effective when posted, and your continued use of the Site after that time constitutes acceptance of the updated Terms.

16. Miscellaneous

These Terms, together with the Privacy Policy and any applicable separate written agreement, are the entire agreement between you and Alivio regarding the Site. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. Notices to us may be sent to the contact details below.
